Usage Policy
1. BUSINESS-TO-BUSINESS APPLICATION
These Terms and Conditions apply exclusively to participants attending the Event in a professional or commercial capacity. This is not a consumer transaction. By registering for the Event, you represent and warrant that you are attending in connection with your business, trade, or professional activities and that you are not acting as a consumer within the meaning of applicable consumer protection laws. These Terms constitute a business-to-business (B2B) contract between you and the Organizer. Consumer protection legislation, including any provisions regarding withdrawal rights, cooling-off periods, or mandatory information requirements applicable to consumer contracts, does not apply to this agreement. If you are registering as an individual, you expressly confirm that you are doing so exclusively for business purposes and not in a personal or consumer capacity.
2. DEFINITIONS
"Organizer" means Ad Tech International, a company registered under the laws of Bulgaria with UIC 205745480, having its registered office at Sofia, Blvd. Arsenalski №11, fl.4 represented by Andrey Petrov.
"Event" means the B2B Growth event, including all sessions, presentations, networking activities, and related programming organized by the Organizer, whether conducted in-person, online, or in hybrid format.
"Participant" means any person or entity who registers for and/or attends the Event in a business capacity.
"Ticket" means the electronic confirmation of registration issued by the Organizer to the Participant upon completion of the registration process.
"Event Page" means the website or digital platform where Event information, registration procedures, program details, and related communications are published by the Organizer.
"Force Majeure" means any event beyond the reasonable control of the Organizer, including but not limited to natural disasters, pandemics, epidemics, government restrictions or orders, civil unrest, terrorism, war, strikes, labor disputes, technical failures, venue unavailability, or any other circumstance that makes it impossible or commercially impracticable for the Organizer to perform its obligations.
3. EVENT FLEXIBILITY AND PROGRAM CHANGES
The Event program, schedule, speakers, topics, and format published on the Event Page are indicative and represent the Organizer's current intentions only. The Organizer expressly reserves the right at any time and without prior notice to modify or substitute speakers, moderators, presenters, or any other participants in the Event program. The Organizer may change the order, content, duration, or format of sessions, alter topics, panels, presentations, or any other aspect of the Event content. The Organizer may modify the Event format from in-person to online, from online to in-person, or to a hybrid combination, and may adjust timing, duration, schedule, or any other logistical aspect of the Event as circumstances require or as the Organizer deems appropriate.
Any such changes, modifications, or substitutions do not constitute a breach of contract, do not provide grounds for cancellation by the Participant, do not entitle the Participant to any refund of fees paid, and do not create any basis for liability or damages against the Organizer. The Organizer will make reasonable efforts to communicate significant changes via the Event Page or through email notifications to registered Participants, but the Organizer is under no obligation to provide such notice and the absence of notice does not affect the validity of any changes made.
4. REGISTRATION AND PAYMENT
Registration for the Event is completed when the Participant receives email confirmation and/or a Ticket from the Organizer. The Participant is responsible for providing a valid and accessible email address for all Event-related communications. All fees applicable to Event attendance are stated on the Event Page and must be paid in full prior to the Event date using the payment methods specified on the Event Page. The Organizer may offer different pricing tiers based on the timing of registration, such as early bird rates, standard rates, or late registration rates, and the Participant agrees to pay the applicable rate in effect at the time of registration.
All fees are non-refundable except at the sole and absolute discretion of the Organizer or as expressly stated elsewhere in these Terms. Failure to attend the Event for any reason, including personal circumstances, scheduling conflicts, travel difficulties, or any other reason whatsoever, does not entitle the Participant to any refund, credit, or compensation of any kind. Tickets are personal to the registered Participant and may only be transferred to another individual with the Organizer's prior written consent, which must be requested by sending written notice to the Organizer at least three business days before the Event date.
5. CANCELLATIONS AND REFUNDS
Cancellations by Participants are generally not eligible for any refund of fees paid. The Organizer may, at its sole and absolute discretion and without any obligation to do so, consider offering a partial refund of up to fifty percent of the fees paid if the Participant provides written notice of cancellation to hello@braindonors.agency at least seven calendar days before the scheduled Event date. Cancellations received within seven days of the Event date are not eligible for any refund under any circumstances. Any refund decision is entirely at the Organizer's discretion and does not create any precedent or expectation for future events or transactions.
If the Organizer cancels, postpones, or materially alters the Event for any reason, the Organizer may in its sole discretion offer Participants one or more of the following options: a new Event date for the same or substantially similar Event, a credit or voucher applicable toward registration for a future Event organized by the Organizer, or a partial or full refund of fees paid. The Organizer is not liable for and will not reimburse or compensate Participants for any additional costs, expenses, losses, or damages incurred due to the cancellation, postponement, or alteration of the Event, including but not limited to travel expenses, accommodation costs, lost business opportunities, or any other consequential damages.
6. PARTICIPATION AT OWN RISK
Participants attend and participate in the Event entirely at their own risk and responsibility. The Organizer is not responsible for and expressly disclaims any liability for personal injury, illness, death, health conditions, or any medical issues that may arise during or as a result of Event attendance. The Organizer is not responsible for the loss, theft, damage, or destruction of personal belongings, equipment, devices, or any other property belonging to Participants, regardless of where such loss or damage occurs within or around the Event venue or during Event-related activities.
The Organizer is not responsible for and does not accept liability for the actions, omissions, negligence, or misconduct of third parties, including other Participants, Event speakers, venue staff, vendors, contractors, or any other persons present at or involved with the Event. Participants are solely responsible for assessing their own health, fitness, and suitability to attend and participate in the Event and must comply with all applicable health and safety regulations, venue requirements, and instructions provided by the Organizer or venue personnel.
7. LIMITATION OF LIABILITY
The Organizer shall not be liable under any circumstances for indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to lost profits, lost business opportunities, lost revenue, loss of anticipated savings, reputational harm, damage to business relationships, or any other economic or non-economic losses, regardless of whether such damages were foreseeable or whether the Organizer was advised of the possibility of such damages.
If the Organizer is found liable to a Participant for any reason whatsoever, whether based in contract, tort, negligence, strict liability, or any other legal theory, the Organizer's total aggregate liability shall not exceed the amount actually paid by that Participant for their Ticket. This limitation applies to all claims collectively, not to each individual claim, and represents the Participant's sole and exclusive remedy against the Organizer.
8. INDEMNIFICATION
The Participant agrees to indemnify, defend, and hold harmless the Organizer, its affiliates, officers, directors, employees, agents, contractors, and representatives from and against all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to the Participant's breach of these Terms, the Participant's violation of any applicable law or regulation, the Participant's conduct or behavior at the Event, or any third-party claims resulting from the Participant's actions, omissions, negligence, or misconduct. This indemnification obligation survives the termination of these Terms and the conclusion of the Event.
9. CONDUCT AND ACCESS
Participants are expected to behave professionally, respectfully, and courteously toward all Event attendees, speakers, staff, and other persons present at the Event. Participants must comply with all instructions provided by the Organizer and all rules and regulations of the Event venue. Participants must refrain from disruptive, offensive, inappropriate, discriminatory, harassing, threatening, or illegal behavior of any kind.
The Organizer reserves the absolute right to refuse entry to any person or to remove any Participant from the Event at any time without providing any refund of fees paid. Grounds for refusal of entry or removal include but are not limited to violation of these Terms, violation of Event rules or venue regulations, behavior that poses a risk to the safety or security of other persons, behavior that disrupts the Event or interferes with other Participants' enjoyment of the Event, or any other conduct that the Organizer deems inappropriate or unacceptable in its sole discretion. The Organizer's decision in such matters is final and not subject to appeal.
10. INTELLECTUAL PROPERTY AND RECORDINGS
All Event content, materials, presentations, handouts, recordings, and other intellectual property presented or distributed at the Event are owned by the Organizer and/or the respective speakers and are protected by copyright law, trademark law, and other intellectual property laws. Participants may not, without the Organizer's prior written consent, record, photograph, videotape, audio record, or livestream any part of the Event using any device or technology. Participants may not reproduce, distribute, republish, modify, or create derivative works from Event materials or content. Participants may not use Event content for any commercial purpose or in any manner that competes with the Organizer's business.
The Organizer reserves the right to record the Event in any format for promotional, archival, educational, or commercial purposes. By attending the Event, Participants expressly consent to being photographed, filmed, videotaped, or otherwise recorded and to the use of their name, image, likeness, voice, and statements in any media for any purpose related to the promotion or documentation of the Event without compensation or further consent.
11. PERSONAL DATA AND PRIVACY
The Organizer collects and processes personal data provided by Participants during registration and Event attendance in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). By registering for the Event, Participants consent to the collection, storage, and use of their personal data for purposes of Event administration, communication regarding the Event, future Event marketing, and other legitimate business purposes of the Organizer.
Participants acknowledge and consent that they may be photographed, filmed, or otherwise recorded during the Event and that such images, recordings, and any personal data captured therein may be used by the Organizer for promotional, marketing, or documentary purposes in any media format. 12. FORCE MAJEURE
If a Force Majeure event prevents, materially hinders, or makes it commercially impracticable for the Organizer to conduct the Event as planned, the Organizer may in its sole discretion postpone the Event to a later date, convert the Event to an online or hybrid format, relocate the Event to a different venue, or cancel the Event entirely. The Organizer is not liable and will not be held responsible for any damages, losses, costs, expenses, or other consequences suffered by Participants as a result of a Force Majeure event, including but not limited to non-refundable travel expenses, accommodation costs, lost business opportunities, or any other direct or indirect losses.
In the event of cancellation or material alteration due to Force Majeure, the Organizer may in its sole discretion offer Participants a credit or voucher toward registration for a future Event organized by the Organizer, or may offer a partial refund of fees paid, but the Organizer has no obligation to provide any compensation beyond this and specifically disclaims any liability for consequential damages of any kind.
13. PARTICIPANT REPRESENTATIONS
By completing the registration process and attending the Event, the Participant represents, warrants, and confirms the following: that they are attending in a professional or business capacity and not as a consumer; that they have the legal capacity and authority to enter into this agreement and to bind any entity on whose behalf they are registering; that they accept and assume all risks associated with Event attendance; that they understand and acknowledge the nature, format, and content of the Event may change without notice; and that they will not bring any claims or legal actions against the Organizer except as expressly permitted under these Terms and within the limitations set forth herein.
14. GENERAL PROVISIONS
These Terms and Conditions constitute the entire agreement between the Participant and the Organizer regarding the Event and supersede all prior negotiations, discussions, representations, or agreements, whether written or oral. The Organizer may amend, modify, or update these Terms at any time by posting revised Terms on the Event Page, and continued registration or attendance after such posting constitutes acceptance of the amended Terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect and shall be interpreted to give maximum effect to the intent of the parties. The Organizer's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision or a waiver of the Organizer's right to enforce such provision in the future.
15. GOVERNING LAW AND JURISDICTION
These Terms are governed by and shall be construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Event shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction located in Sofia, Bulgaria, being the location of the Organizer's registered seat.
Prior to initiating any formal legal proceedings, the parties agree to make good faith efforts to resolve any dispute through direct negotiation or, if mutually agreed, through mediation. However, nothing in this provision shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction when necessary to protect their rights.

BY REGISTERING FOR THE EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY.
